These terms are an agreement between you and Baseplate Technologies Ltd, trading as Bonzino ("Bonzino", "we", "us"), a company registered in England and Wales (company number 17333932) whose registered office is 66 Paul Street, London, EC2A 4NA, United Kingdom.
They cover bonzino.com, the Bonzino app at app.bonzino.com, our short links at bnz.sh, and anything else we run under the Bonzino name. They apply to everyone who visits, and to everyone who has a Bonzino login, whatever they use it for.
Two further documents sit on top of these terms for particular roles. If you run an affiliate programme on Bonzino, the Merchant Terms apply to your business as well. If you join Bonzino's own affiliate programme, the Affiliate Programme Terms apply as well. Where a role document says something different from these terms, the role document wins for that role. Our Privacy Policy explains what we do with personal information.
1.1 You must be at least 18. Bonzino is a business tool; by creating a login you confirm you are using it for business, not as a consumer.
1.2 If you create a login or accept an invitation for a business, you confirm you are allowed to act for it.
1.3 Keep the details on your login accurate. We rely on your email address to reach you about your account, including about these terms.
2.1 One login per person. Your login can hold several roles: a member of one or more merchant teams, an affiliate in one or more programmes, or both. Each role has its own profile and its own terms.
2.2 You are responsible for everything done with your login. Keep your password to yourself, use two-step sign-in where we offer it, and tell us straight away at hello@bonzino.com if you think someone else has used it. We may reset your password or sign you out everywhere if we believe your login is at risk.
2.3 You can change your email address and password, sign out of other devices, and delete your login from your account settings. Deleting your login does not close any merchant account or affiliate membership attached to it; those are left or closed first, under their own terms.
3.1 Use Bonzino only as it is meant to be used and only within the law. In particular, you must not:
3.2 If we reasonably believe you have broken this section we may suspend or close your login, remove content, and tell the merchants or affiliates affected. Where money is involved, the Merchant Terms and the Affiliate Programme Terms say what happens to it.
4.1 Bonzino, its software, design, documentation, the Bonzino name and logo, and the bnz.sh short links are ours or our licensors'. We give you a limited, non-exclusive, non-transferable right to use them through the service while you have a login and keep to these terms. Nothing else is granted.
4.2 What you put into Bonzino, such as your business details, product names, programme rules and emails to affiliates, stays yours. You give us the right to use it to run the service for you.
4.3 If you give us feedback or ideas, we may use them without owing you anything.
4.4 We may use information about how Bonzino is used, combined across many accounts so that no business or person can be identified, to run and improve the service.
Bonzino works with services we do not control, such as Stripe for payments and PayPal or Wise for payouts. Their terms apply to your use of them, and we are not responsible for them. Links on our site to other websites are for convenience; we do not endorse them.
6.1 We work to keep Bonzino running and to tell you in advance about planned downtime, but we do not promise it will be available or error-free at all times, and we do not offer a service-level agreement.
6.2 We improve Bonzino continuously and may add, change or remove features. We will give you reasonable notice before removing something you rely on. Features marked as new, beta or preview may change or disappear without notice.
7.1 How we use personal information is set out in our Privacy Policy. For personal information we process on a merchant's behalf, the data processing agreement in the Merchant Terms applies.
7.2 We protect Bonzino with measures appropriate to the risk, including encryption in transit and at rest, access controls, and logging. If we learn of a security incident affecting your information we will tell you without undue delay, and the merchants concerned within 72 hours of confirming it.
8.1 You can stop using Bonzino at any time, and delete your login once nothing is attached to it.
8.2 We may suspend or close your login if you break these terms, if the law requires it, or if we stop offering Bonzino. Except where the breach is serious or the law forbids delay, we will tell you first and give you a chance to put it right.
8.3 Sections 4, 7, 9, 10 and 12 to 14 continue after your login is closed.
Bonzino is provided "as is" and "as available". We do not promise any level of referrals, sales or commission, or that tracking will be uninterrupted or exact: tracking depends on browsers, cookies and payment data we do not control, and where it fails our obligation is to use reasonable efforts to put it right. We make no other warranties, express or implied.
10.1 Nothing in these terms limits liability that cannot legally be limited, including for death or personal injury caused by negligence, for fraud, or for anything the Unfair Contract Terms Act 1977 says cannot be excluded.
10.2 Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue, business or opportunity.
10.3 For a merchant, our total liability is set in the Merchant Terms. For an affiliate in Bonzino's programme, it is set in the Affiliate Programme Terms. For anyone else, our total liability under these terms is limited to £100.
11.1 Every version of these terms has a version number and an effective date, and previous versions stay readable on our website. We record which version you accepted and when.
11.2 If we change these terms in a way that affects you, we will email you at least 14 days before the change takes effect, saying what changed. Changes that only correct, clarify or add something in your favour may take effect when published.
11.3 If you do not agree to a change, stop using Bonzino and delete your login before it takes effect. Using Bonzino after the effective date means you accept it.
12.1 These terms, the role documents that apply to you and the Privacy Policy are the whole agreement between us about using Bonzino.
12.2 You may not transfer your login or your rights under these terms. We may transfer ours to a successor to our business, and will tell you if we do.
12.3 If any part of these terms is found unenforceable, the rest continues to apply. Not enforcing a right straight away does not mean we have given it up.
12.4 Notices to you go to the email address on your login. Notices to us go to hello@bonzino.com.
These terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
