These terms are an agreement between you and Baseplate Technologies Ltd, trading as Bonzino ("Bonzino", "we", "us"), a company registered in England and Wales (company number 17333932), whose registered office is 66 Paul Street, London, EC2A 4NA, United Kingdom.
They cover the Bonzino Affiliate Programme (the "Programme"): recommending Bonzino to businesses and earning commission when they become paying customers. They do not cover your part in any other merchant's affiliate programme on Bonzino; those programmes are between you and that merchant. If you are a Bonzino merchant, the referral credit on your Bonzino bill is governed by the Merchant Terms, not by these terms.
By ticking the acceptance box and joining, you agree to these terms. Your login is also governed by our Terms & Conditions, and our Privacy Policy explains what we do with your information. Where these terms say something different from the Terms & Conditions, these terms win for the Programme.
1.1 You can join if you:
1.2 One membership per person or business. Joining the Programme more than once, including through another person, is not allowed.
1.3 We may decline or end a membership if we reasonably believe it breaks these terms.
2.1 Your link and code. When you join you get a personal link and, when an offer is running, a personal discount code. Both appear in your affiliate portal.
2.2 What counts as a referral. A business is referred by you when it signs up for a paid Bonzino plan, and either:
Referrals are credited as recorded by Bonzino's tracking. Our records decide which affiliate, if any, is credited. Tracking depends on browsers, cookies and payment data we do not control, so we do not guarantee it; where it fails, our obligation is to use reasonable efforts to put it right.
2.3 Commission. You earn commission at the rate shown in your portal on the amounts a referred business pays Bonzino: its monthly fee and its usage-based fee. Commission is calculated:
2.4 How long. You earn commission on every payment the referred business makes for as long as it remains a paying Bonzino customer, while you remain in the Programme.
2.5 What does not count. You do not earn commission on:
3.1 Refund window. New commission waits for the refund window shown in your portal before it is approved, so that a refund or chargeback can cancel it first. If a payment is refunded or charged back after its commission was paid, we deduct that commission from a later payment to you.
3.2 Payment. Approved commission is paid on the payout day shown in your portal, once the amount you are owed reaches the minimum shown there. Smaller amounts carry over to the next payout.
3.3 Currency and method. We pay in US dollars, by bank transfer, Wise or PayPal, to the payment details in your portal.
3.4 Payment details. You are responsible for keeping your payment details correct. Commission owed to you while you have no valid payment details is held for you, not forfeited. If you have still not provided valid details 24 months after the commission was approved, and we have sent you at least three email reminders, the held commission is forfeited.
3.5 Disputed amounts. If you think a commission is missing or wrong, tell us within 90 days of the payment it relates to. We will look at our records and reply in good faith.
3.6 Tax information. Where the law requires us to collect tax information before paying you, such as a tax form or VAT number, we will ask for it and may hold payments until we receive it.
4.1 Promote Bonzino honestly. Describe it accurately, and do not make claims about price, features or results that we have not made ourselves.
4.2 Disclose the relationship. Make clear that you may earn commission, as required by the UK CAP Code, the US FTC Endorsement Guides and similar rules wherever your audience is.
4.3 Not allowed:
4.4 If we reasonably suspect a breach of this section, we may hold the commission concerned while we look into it. If the breach is confirmed, we may cancel that commission, reclaim commission already paid for it, and end your membership.
5.1 You take part as an independent contractor. Nothing in these terms makes you our employee, worker, agent or partner.
5.2 You are responsible for any tax on your commission, and for registering, declaring and paying it where required.
5.3 Commission amounts include any VAT, GST or sales tax you may have to account for.
We use your login, profile and payment information to run the Programme: crediting referrals, calculating and paying commission, and contacting you about it. Bonzino is the controller of this information, and our Privacy Policy describes it, including how your payment details are stored and who can see them.
7.1 We may change the commission rate, refund window, click window, payout day or minimum. We may also change these terms.
7.2 We will email you at least 7 days before any change to your terms takes effect, whether it is better or worse for you. Changes take effect for commission on payments made from the effective date. Commission already earned is not affected.
7.3 Changes that do not make things worse for you can take effect immediately.
7.4 If you do not agree to a change, you can leave the Programme before it takes effect. Continuing after the effective date means you accept it.
7.5 Each version of these terms has a version number and an effective date. Previous versions stay available on our website, and we record which version you accepted and when.
8.1 You can leave at any time from your portal or by emailing us. We can end your membership at any time by email.
8.2 When your membership ends:
8.3 Exception: if your membership ends because of fraud or a breach of section 4, unpaid commission connected with that conduct is cancelled.
8.4 Sections 3.1, 3.4, 4.4, 5, 6 and 9 to 11 survive the end of your membership.
9.1 The Programme is provided "as is". We do not guarantee any level of referrals or commission, or that tracking will be uninterrupted or error-free.
9.2 Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue or opportunity.
9.3 Our total liability to you under these terms is limited to the total commission paid to you in the 12 months before the claim arose, or £100 if that is more.
9.4 Nothing in these terms limits liability that cannot legally be limited, including for death or personal injury caused by negligence, for fraud, or for anything the Unfair Contract Terms Act 1977 says cannot be excluded.
10.1 These terms, together with the documents referred to in them, are the whole agreement about the Programme. If they conflict with our Terms & Conditions on the Programme, these terms apply.
10.2 You may not transfer your membership or commission to anyone else. We may transfer our rights and obligations to a successor to our business, and will tell you if we do.
10.3 If any part of these terms is found unenforceable, the rest continues to apply.
10.4 Not enforcing a right straight away does not mean we have given it up.
These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
